Dare I ask if Shareholders may be invited to discuss the season BEFORE last season ?

They can do away with the voting but whilst most cannot remember the season BEFORE the last one it goes to show just what an annoyance it is having a shareholder meeting.

I am sure there are shareholders who remember the promise to hold them BEFORE the new season started.

I was asking a question if anyone had heard anything.

I have had nothing but its happened in the past that letters have gone missing.

Today is the 5th and 14 days notice is given which means its pretty tight for Christmas.

Don’t see what Robbie is doing to bash the club here.

Let’s put it this way VD, would rather have a “Robbo” type running the club than someone like you.

I am told that the club is sending the notice out today.
14 days to be given so be rather interesting to see when its going to be.

Its the club articles that require one..........however frankly as we are discussing the period December 2017 to November 2018 there seems little point.

We have finished another financial year so are 2 behind.

My plan was to hold the AGM in February to discuss the previous season and to get shareholders on board for the new season.
Clearly they do not think that's a good idea.
Call me sceptical but an AGM on the 23/24th of December is not shareholder friendly.

My source and I got this mixed up.
There has been no letter so an AGM looks unlikely

I am afraid it’s the thin end of the wedge .
Ignoring the articles and not giving shareholders a meeting is frankly not on.
Will shareholders challenge this?

As I understand it, no.
The club is now a private limited company, with Jan and Ian Fulton privately owning 94% of the assets. There is no legal requirement to hold an AGM due to this change, however ethically and morally it could be considered wrong in not doing so. If there is no agm it will be a first. The abridged accounts are on companies House and show a loss. I further understand there is a legal requirement to forward the accounts to the shareholders.

They should hold a AGM anyway looks like there trying to hide something otherwise

As I've stated there is no statutory requirement to hold an AGM for a private company, this law came into effect on October 1st 2007.

However, the club have always held an AGM and indeed the clubs current articles of administration do state a general meeting is to be held annually.

The articles of the club say that there shall be an annual AGM
These have not been changed.
The fact that the Fulton’s voted to give them full control is morally questionable .
They have not bought these shares and I think it’s wrong they should hold voting rights.
The debt accruing interest is still there.

At the very least they should buy out other holders.
Some of us put many thousands of pounds into the club for no return.

I don’t really understand the current ownership arrangements but one thing that does interest me is whether the planning agreement for the new stadium will protect it from being sold off. Basically the stadium would I assume have been part of the planning gain for the local community required to justify such a large green belt development. I would be amazed if this new stadium would effectively become a gift to the Fulton family without safeguards to keep it as a community asset.

There is no such condition safeguarding the stadium in any guise.

Thanks. Do you know if the stadium is only required by planning condition or is it covered by a requirement for a planning undertaking or agreement which often has to be signed before planning permission is issued? All very unusual if not.

I don't get the cloak and dagger stuff have the AGM every year and let anybody that wants to say summat stand up and say it
To be honest nobody who dosnt have the best interests of the club at heart spends all the money on buying players the club as done in the last few years you could easily wait for lesser players to come off contract and sign them rarther than spending money on transfers

Unfortunately it’s all about looking after number 1 and keeping control. Some people don’t like an AGM because they are usually the only place shareholders get to have their say and ask any questions.

We have effectively an owner in IF who doesn’t like being questioned and doesn’t want any kind of discussions in how the club is run. This was why he held a gun to the clubs head to gain the control he has now.

Sad but true. A shareholder at Cas now has almost no input and no say, just the way I F wants it. He has a free reign to do exactly as he pleases. Sorry state of affairs.
